Early Warning News Release for Yftah Ben Yaacov

ASHKELON, Israel and VANCOUVER, British Columbia – TheNewswire – June 18, 2024 - BYND Cannasoft Enterprises Inc. (Nasdaq:BCAN) (“BYND Cannasoft” or the “Company”) has been informed by Yftah Ben Yaacov (“Yftah or Acquiror”) that he has filed an early warning report reflecting that the number of common shares of the Company (the “Shares”) held by him has changed and that his percentage ownership has went over 10% of the Company’s outstanding Share capital following the issuance of shares to him on June 14, 2024.

The following disclosure is the sole responsibility, and is published at the request, of the Acquiror pursuant to his disclosure obligations under National Instrument 62-103 The Early Warning System and Related Take-Over Bid and Insider Reporting Issues (“NI 62-103”).

On June 14, 2024, 1,038,525 shares were issued to Yftah following vesting of RSUs granted to him.

Prior to the Share issuance, Yftah beneficially owned 243,076 Shares representing approximately 2.44% of the Company’s 9,961,412 outstanding Shares. After the Share issuance, Yftah owned 1,281,601 Shares representing approximately 11.65% of the Company’s 10,999,937 outstanding Shares, an increase of approximately 9.21%.

The Shares were originally acquired by the Acquiror for investment purposes. The Acquiror may from time to time acquire additional securities, dispose of some or all of the existing or additional securities or may continue to hold the securities of the Company.

The devices described in this news release are concept devices that are in the first stage of development and will be subject to testing, experiments and regulatory approvals and therefore there is no certainty that they will eventually be marketed.
