Cytophage Technologies Ltd.

WINNIPEG, June 10, 2025TheNewswire - Cytophage Technologies Ltd. (“Cytophage” or the “Company”) (TSXV: CYTO, FSE: 70G) is pleased to announce that it has closed its previously announced non-brokered and upsized private placement (see press releases May 14, 2025 and May 29, 2025). The Company raised gross proceeds of C$1.55 million through the issuance of 7,750,000 units (each, a “Unit”) at a price of C$0.20 per Unit  (the “Offering”).

Each Unit consists of one common share of the Company and one common share purchase warrant (a “Warrant”). Each Warrant entitles the holder thereof to purchase one additional common share of the Company at a price of C$0.40 per share, for a period of 24 months from the date of issuance. Cytophage may accelerate the expiry of the Warrants if the volume weighted average trading price of its Common Shares on the TSX Venture Exchange (the “Exchange”) equals or exceed $0.60 for a period of 10 consecutive trading days (the “Acceleration Right”). In the event that Cytophage exercises the Acceleration Right it will do so by providing notice to all holders of Warrants.

The issuance of Units to such insiders is considered a "related party transaction" within the meaning of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company is relying on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(b) and 5.7(1)(a) of MI 61-101, as the Company is not listed on a specified market and the fair market value of the participation in the Offering by the insiders does not exceed 25% of the market capitalization of the Company.

The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
