EGR Exploration Announces Non-Brokered Private Placement Increased to $952,500
Vancouver, BC, TheNewswire, December 5, 2022 – EGR Exploration Ltd. (TSX-V:EGR) (“EGR” or the “Company”) is pleased to announce that the non-brokered private placement announce on November 30, 2022 has been increased to 15.875 million units (“Units”) of the Company at a price of C$0.06 per Unit for gross proceeds to the Company of up to $952,500 (the “Offering”). The Offering is fully subscribed and will close shortly.

Each Unit is comprised of one common share of the Company (a “Common Share”) and one non-transferable common share purchase warrant (a “Warrant”). Each full Warrant will entitle the holder to purchase one common share of the Company (a “Warrant Share”) at an exercise price of $0.12 per Warrant Share for a period of three years from the closing of the Offering. The Company may elect to accelerate the expiry of the Warrants in the event the closing price of the Common Shares on the TSX Venture Exchange (“TSXV”) equals or exceeds $0.24 per Common Share for thirty (30) consecutive trading days, in which case the Warrants will expire 30 days after the date on which the Company provides written notice of acceleration.
Finder’s fees of up to 7% in cash will be paid to eligible parties.
Insiders are participating in the Offering for $250,020. The Company is relying upon exemptions from the valuation and minority shareholder approval requirements contained in Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions.
All securities issued with respect to the Offering will be subject to a hold period of four months and one day in accordance with applicable securities laws. The Offering is subject to receipt of all necessary regulatory approvals, including the TSX Venture Exchange.
