August 21, 2025 – Vancouver, British Columbia – TheNewswire - Fort Technology Inc. (TSXV:FORT) (the “Company”) is pleased to announce that that all matters put forward at the Company's annual general and special meeting (the "AGSM") of shareholders held on August 21, 2025 were duly approved.  Details of the voting results are provided below.

AGSM Results

 

A total of 112,709,233 votes were cast, representing 84.54% of the issued and outstanding shares of the Company, were voted in connection with the AGSM by shareholders and proxy holders.  All of the following resolutions, as described in the Company's information circular, were approved by the requisite votes cast at the AGSM:

 

• setting the number of directors comprising the Company's board of directors (the "Board") for the ensuing year at five (5); 

• electing Viki Hakmon, Liat Sidi, Tamir Fayerman, Ohad David and Asaf Itzhaik as directors of the Company, to hold office until the close of the next annual general meeting of shareholders or until their successors are elected or appointed; 

• re-appointing Brightman Almagor Zohar Co., Certified Public Accountant as the auditor of the Company for the ensuing year and authorizing the Board to fix the remuneration of the auditor; 

• the approval, by ordinary resolution, of the 20% omnibus equity incentive plan; and 

• the approval, by special resolution of two-thirds of the votes cast, the consolidation of all the issued and outstanding common shares of the Company on the basis of up to 250 pre-consolidation shares for every one (1) post-consolidation shares.
