Manning Ventures Announces Closing of Non-Brokered Private Placement
Vancouver, BC - TheNewswire - December 30, 2022 - Manning Ventures Inc. (the “Company” or “Manning”) (CSE:MANN) (Frankfurt:1H5) is pleased to announce that it has closed a non-brokered private placement of 15,950,000 common shares (“Shares”) at a price of $0.05 per Share for gross proceeds of $797,500 (the “Offering”). The Company intends to use the proceeds from the Offering for exploration on its properties as well as for general working capital.
All of the securities issued in the Offering are subject to a hold period of 4 months and a day pursuant to applicable securities laws which expires on May 1, 2023.
The securities issued pursuant to the Offering have not, nor will they be registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons in the absence of U.S. registration or an applicable exemption from the U.S. registration requirements.
