Agritech Terminates Amalgamation Agreement With Technologies Sgg Canada Inc.



Vancouver, September 19, 2025 – TheNewswire - Agritech Properties Ltd. (“Agritech” or the “Company”) announces that it has terminated its Amalgamation Agreement dated January 15, 2025, with Technologies SGG Canada Inc. (“SGG”).

The closing of the amalgamation was subject to several conditions. While shares were issued into escrow pursuant to Article 4 of the Agreement, SGG failed to satisfy key obligations, including the timely production of financial statements. The contemplated transaction would have resulted in an RTO however the escrow agreement is cancelled as the release terms have not been met and the shares are returned to treasury.

In addition, the Agreement contained a mutual condition precedent requiring the parties to raise financing of approximately €40 million (or such other amount as mutually agreed) within six months of signing. Despite introductions by Agritech to qualified financiers and multiple presentations led by SGG, no offers were secured in the required amount.

As of the date of this release, Chris Treville, a Principal of SGG who also served as an officer of Agritech, has been relieved of his duties with the Company.

Working capital for the proposed acquisition was raised by Agritech through a private placement of $865,000. Of this, an amount  was advanced to SGG for operational expenses. The Company holds a Promissory Note for these advances and will take the necessary steps to recover the funds.
