Special Resolution authorizing the Amendment of the Articles of Incorporation to Change the Name of the Company

The special resolution authorizing the amendment of the articles of incorporation to change the name of the Company, as more particularly described in the information circular, was approved.

Omnibus Equity Incentive Plan

The amendment of the Omnibus Equity Incentive Plan from a rolling 20% plan to a rolling 30% plan, as more particularly described in the information circular, was approved by a majority of votes from Shareholders.
