VANCOUVER, May 23, 2025 – TheNewswire - Agritech Properties Ltd.(“Agritech” or the “Company”) is pleased to announce that it has completed its change of name from 1325966 BC Ltd. To Agritech Properties Ltd.

 

An updated CUSIP and ISIN will be published shortly.

 

The Company is also pleased to confirm it completed an additional tranche of its private placement, issuing 250,000 common shares at a price of $0.20 per share for gross proceeds of $50,000. This brings the total proceeds raised under the offering to $865,000, through the issuance of 4,325,000 shares at $0.20 per share. Following this tranche, the Company has 18,728,698 common shares issued and outstanding.

 

Net proceeds from the offering have been used to fund operational expenses related to satisfying the conditions for the proposed acquisition of Technologies SGG Canada Inc. (“SGG”) and for advances related to that transaction.

 

As previously announced, Agritech entered into a definitive agreement dated January 15, 2025, to complete a business combination with SGG. This transaction remains subject to the completion of certain corporate restructuring steps and funding milestones.

 

SGG and its affiliated companies have over 12 years of experience in the manufacture and installation of cold storage systems, offering optimized preservation environments for a wide range of products. The company’s founders have developed and licensed agricultural technology intellectual property (IP) globally, covering three niche sectors: controlled atmosphere storage, indoor cultivation, and biomass-to-energy solutions.  The shares issued in the Private Placement will be subject to a four month hold period under applicable Canadian securities legislation.
