MONTREAL, QUEBEC / TheNewswire / June 8, 2018 – Pursuant to the terms of the convertible note between Relevium Technologies Inc. (the “Issuer”) and Mr. Albertus P. Engelbrecht, completed on June 8, 2018 (the “Closing Date”), Mr. Engelbrecht has acquired direct ownership (the “Acquisition”) of an aggregate of 14,587,688 common shares (the “Acquired Shares”) in the capital of Relevium Technologies Inc. (the “Issuer”).

The Acquisition was carried out pursuant to the terms of a two-year convertible note for USD$1,550,000 plus interest, dated June 7, 2017 (the “Convertible Note”), entered into between Mr. Engelbrecht and the Issuer. Under the terms of the Convertible Note, Mr. Engelbrecht acquired 14,337,500 of the Acquired Shares at a price of $0.1396 per share and acquired a further 250,188 at a price of $0.16 per share. The Issuer had 90,218,618 common shares issued and outstanding (the “Common Shares”) prior to the completion of the Acquisition, and 104,806,306 Common Shares upon completion of the Acquisition.

Prior to the Closing Date, Mr. Engelbrecht had direct ownership and control of 3,625,000 Common Shares (including securities convertible into 14,587,688 Common Shares, which collectively represented 17.4% of the Issuer’s issued and outstanding Common Shares on a partially diluted basis, or 4.0% on an undiluted basis).

As a result of the Acquisition, Mr. Engelbrecht now has direct ownership and control of 18,212,618 Common Shares, which collectively represents 17.4% of the Issuer’s issued and outstanding Common Shares on an undiluted basis.

The Acquired Shares are being held for investment purposes. Mr. Engelbrecht may from time to time increase or decrease his holdings of the Issuer’s securities, depending on market and other conditions.
