ACL Construction Ltd. Settles Director Indebtedness with Share Issuance
FORT ST. JOHN, British Columbia — August 21, 2026 — Leads & Copy — A.C.L. Construction Ltd. (TSXV: ACL; FSE: A3L0) announced it has received final approval from the TSX Venture Exchange to settle $35,000 of indebtedness owed to a director through the issuance of 116,667 common shares at $0.30 per share. This transaction is referred to as the “Shares for Debt Transaction”.
The indebtedness was related to loans advanced by the director to the Company. Following the completion of the Shares for Debt Transaction, ACL Construction now has 73,638,741 common shares issued and outstanding. The shares issued as part of this settlement are subject to a statutory hold period of four months and one day from their issuance date, as per Canadian securities laws.
As the creditor is a director of the Company, the Shares for Debt Transaction was classified as a “related party transaction” under Multilateral Instrument 61-101 — Protection of Minority Security Holders in Special Transactions. The Company utilized exemptions from the formal valuation and minority shareholder approval requirements outlined in MI 61-101. These exemptions were granted because neither the fair market value of the securities issued to the director nor the fair market value of the consideration paid by the director exceeded 25% of the Company’s market capitalization.
