St-Georges Eco-Mining Corp. Faces Management Cease Trade Order Due to Delayed Financial Filings

Montréal, Quebec — July 31, 2026 — Leads & Copy — St-Georges Eco-Mining Corp. (CSE: SX) (OTCQB: SXOOF) (FSE: 85G1) announced Friday that its audited financial statements for the fiscal year ended March 31, 2026, along with the related management's discussion and analysis and CEO and CFO certifications, were not filed by the July 29 deadline.

The company cited unforeseen delays in completing the audit, primarily due to a complete management change at one of its wholly owned subsidiaries. This transition resulted in a lack of continuity in accounting records and financial information, necessitating additional audit procedures.

St-Georges Eco-Mining is working diligently with its auditors to finalize these procedures and expects to file the required documents by September 28, 2026. The company will provide further updates as more information becomes available.

In response to the delay, the Corporation applied for and received a management cease trade order (MCTO) from applicable securities regulatory authorities. This order prohibits the company’s CEO and CFO from trading in its securities and will remain in effect until the financial documents are filed, with a mandatory deadline of September 28, 2026.

Until the filing is complete, St-Georges Eco-Mining intends to issue bi-weekly default status reports as per National Policy 12-203 – Management Cease Trade Orders. The company aims to comply with Alternative Information Guidelines during this period and confirms no other material undisclosed information regarding its affairs exists.

The Corporation stated that, aside from the current filing delay, it is up to date with its other filing obligations.
