Lode Gold Resources Inc. Upsizes Private Placement to CAD $9.782 Million and Engages Marketing Firm

VANCOUVER, British Columbia — August 1, 2026 — Leads & Copy — Lode Gold Resources Inc. announced a significant upsize to its non-brokered private placement financing, now valued at CAD $9.782 million. This increase is attributed to heightened participation interest from both new and existing investors. The company has successfully closed the second and third tranches of this financing, raising CAD$941,830 and CAD$715,229 respectively, by issuing 3,488,261 and 2,648,997 Units at CAD$0.27 per Unit. Across all three tranches, Lode Gold has secured aggregate proceeds totaling CAD$9,715,229 through the issuance of 35,982,331 Units.

Each Unit consists of one common share and one common share purchase warrant. These warrants provide the holder the right to purchase an additional common share at an exercise price of CAD$0.45 for a period of thirty-six months from the issuance date. Lode Gold reserves the right to accelerate the expiry date of these warrants, with a thirty-day notice, should the company’s shares achieve a minimum closing price of $0.80 for ten consecutive trading days.

In a move underscoring insider confidence, senior officers of Lode Gold subscribed for 237,037 Units in the final tranche, contributing gross proceeds of $64,000. The company utilized exemptions from valuation and minority shareholder approval requirements under Multilateral Instrument 61-101 for this insider participation. All securities issued are subject to a statutory four-month-and-one-day hold period, and the financing is pending final acceptance from the TSX Venture Exchange.

The company also disclosed its intention to use the proceeds from this financing to advance technical work at the Fremont Gold Mine, strengthen its balance sheet, facilitate partial debt repayment, and cover general working capital. Technical work at Fremont will concentrate on an upcoming drill program to support a Preliminary Feasibility Study (PFS), along with metallurgical, geotechnical, and rock mechanic studies, and engineering. An initial mine plan is expected to be developed, paving the way for environmental and permitting work later this year.

Furthermore, Lode Gold has entered into a marketing consulting services agreement with Spark Newswire Inc. Spark will provide investor relations, marketing, and promotional services, aiming to increase market awareness, communicate company developments, and engage with investors. The agreement has an initial term of eight months, beginning August 1, 2026, with Lode Gold paying Spark an aggregate cash fee of US$75,000. Additionally, Lode Gold will grant Spark 625,000 stock options, exercisable at $0.60 per share for one year, subject to TSX Venture Exchange approval.

The company also announced that Spark Newswire will manage digital marketing and investor awareness services for an investor awareness campaign, including drafting and distributing marketing materials and news releases, managing email and newsletter distribution, social media and online campaigns, creating investment-thesis content, and providing capital markets advisory services. Spark will manage a US$75,000 media program over the eight-month term. As consideration, Spark will receive incentive stock options with an exercise strike price of CAD$0.60. Spark and Lode Gold are at arm's length, and neither Spark nor its principals currently hold any securities of Lode Gold. Spark is responsible for ensuring all activities comply with applicable securities laws and TSX Venture Exchange policies.

Lode Gold Resources Inc. has significant assets in Canada and the United States, including the Fremont Gold Mine Project in Mariposa, California, and the Dingman Property in Ontario, Canada. The Fremont project, a brownfield site, has a history of gold mining and recently completed a PEA in 2023. Its Mineral Resource Estimate was updated in 2026. The Dingman Property is an orogenic deposit with a 2013 PEA and MRE.
