Innovotech Completes Amalgamation of Subsidiaries

Edmonton, Alberta — January 2, 2026 — Leads & Copy — Innovotech Inc. (TSXV: IOT) announced the completion of a horizontal short-form amalgamation effective January 1, 2026.

According to the announcement, the amalgamation, conducted under the Business Corporations Act (Alberta), combines Innovotech's two wholly-owned subsidiaries, Innovotech Labs Corporation and Keystone Labs Inc. The resulting entity will continue as Innovotech Labs Corporation, maintaining the same articles, directors, and officers.

Innovotech anticipates streamlining processes, reducing duplication, and offering an integrated suite of laboratory services to clients by consolidating laboratory operations under Innovotech Labs Corporation. The amalgamation is also expected to simplify the company’s operating structure and reduce administrative and reporting complexity as Innovotech expands.

Management said that the timing of the amalgamation reflects their assessment that the two laboratory businesses are operationally ready for consolidation and aligns with the start of the company’s fiscal year for accounting and reporting purposes.
