Ventripoint Diagnostics Ltd. Announces Strategic Initiatives to Strengthen Balance Sheet and Accelerate Commercialization of AI-Powered Echocardiography Technology
Toronto, Ontario — September 8, 2026 — Leads & Copy — Ventripoint Diagnostics Ltd. today announced several strategic initiatives aimed at strengthening its financial position and accelerating the commercialization of its artificial intelligence-enabled echocardiography technology. The company has secured US, Canadian, EU, and UK sales clearance for its proprietary VMS+™ platform.
These strategic moves include the successful closure of the initial tranche of a $350,000 non-brokered private placement, the engagement of More Capital Ltd. as a strategic growth advisor, and the appointment of Red Cloud Securities Inc. as a market maker. These actions are designed to enhance Ventripoint's financial flexibility, improve commercial execution, and boost market recognition as the company advances the widespread adoption of its VMS+™ platform.
Near-term objectives for Ventripoint involve expanding the market reach of VMS+, fostering strategic commercial partnerships, and increasing visibility among key stakeholders, including the cardiology, patient advocacy, and healthcare investment sectors.
First Tranche Financing
The Corporation has completed the first tranche of its non-brokered private placement, raising $180,000 through the issuance of Units at $0.10 per Unit. The company plans to conduct one or more additional tranches, pending regulatory approval, with the goal of raising up to $350,000 in gross proceeds. These funds will be allocated to the Corporation's commercialization program.
Each Unit comprises one common share and one common share purchase warrant. Each warrant allows the holder to acquire an additional common share at an exercise price of $0.14 for a period of 24 months post-closing. The warrants are subject to an accelerated expiry clause, where they may expire on 30 days' notice if the Corporation's common shares maintain a trading price of $0.30 or higher for 10 consecutive trading days.
The Corporation may offer cash finder's fees and issue finder's warrants, exercisable into common shares at $0.14 for 24 months, amounting to up to 8% of the offering's gross proceeds.
Proceeds from the offering will support sales and marketing efforts, the hiring of essential commercial personnel, and general working capital, all intended to expedite Ventripoint's commercialization timeline.
Related Party Transactions
Over the six months concluding June 30, 2026, directors and officers provided $115,000 in cash advances to the Corporation for operational needs, with repayment still outstanding. In May 2025, a director advanced $10,000 for operational purposes, which has since been repaid.
Further to a previous press release dated July 22, 2026, the issuance of shares for debentures constitutes a related party transaction under TSXV Policy 5.9 and Multilateral Instrument 61-101. Certain insiders will receive an aggregate of 48,383 common shares. The Corporation is utilizing exemptions from valuation and minority shareholder approval requirements under MI 61-101, as it is not listed on a specified market and the fair market value of insider participation does not exceed 25% of the Corporation's market capitalization, with the transaction's fair market value not exceeding $2,500,000.
Strategic Growth and Commercialization
Ventripoint has entered into a 12-month strategic growth and advisory agreement with More Capital, a Toronto-based firm, building upon their existing relationship announced on July 22, 2026. More Capital will focus on identifying and advancing commercial partnerships, supporting market expansion, evaluating strategic opportunities, and increasing awareness of Ventripoint's technology and commercialization initiatives, with a monthly compensation of $12,500.
Additionally, subject to TSX Venture Exchange (TSXV) approval, Ventripoint has engaged Red Cloud Securities Inc. to provide market stabilization and liquidity services. Red Cloud, a Toronto-based Investment Dealer and member of the Canadian Investment Regulatory Organization (CIRO), will trade Ventripoint shares on the TSXV to maintain a reasonable market and improve liquidity. The agreement, which can be terminated with 60 days' notice, provides Red Cloud with $5,000 per month and does not involve performance factors or compensation in shares or options.
