Headwater Gold Inc. Announces Shareholder Approval of All Business Items at Annual General Meeting and Executive Appointments

Vancouver, British Columbia — September 4, 2026 — Leads & Copy — Headwater Gold Inc. (CSE: HWG) (OTCQX: HWAUF) announced that shareholders approved all items of business at the company's Annual General Meeting (AGM) held on September 3, 2026. Five director nominees proposed by the Board of Directors were elected, and shareholders voted in favour of appointing Davidson & Company LLP as the company's auditor for the upcoming year. The company's long-term incentive plan also received shareholder approval.

Graeme Currie did not seek re-election to the Board. "On behalf of the Board and management, I would like to extend our deepest gratitude to Graeme for his many contributions to Headwater and for the experience and perspective he has brought to the Board. It has been a pleasure working with him, and we wish him all the very best in his retirement," stated Caleb Stroup, President and CEO of Headwater.

Following the meeting, the Board of Directors approved several executive appointments. Alistair Waddell was appointed Executive Chairman of the Board. Caleb Stroup will continue as Chief Executive Officer and President. David Cross was named Chief Financial Officer, Joshua Carron as Vice President, Exploration, and Sandra Wong as Corporate Secretary.

The Audit Committee appointments were also confirmed: Tero Kosonen will serve as Chair, joined by members Fraser MacCorquodale and Wendell Zerb.
