Fidelity Minerals Closes Oversubscribed Private Placement Financing
Vancouver, BC, August 20, 2026 — Leads & Copy — Fidelity Minerals Corp. announced it has successfully closed a non-brokered private placement financing that was upsized due to investor demand, raising C$1,000,000. The financing, initially planned for C$500,000 through 2,500,000 units, was expanded to 5,000,000 units priced at C$0.20 each. Each unit comprises one common share and one-half of a transferable common share purchase warrant. These warrants are exercisable into one additional share at C$0.30 per share until August 20, 2028. The company has the option to accelerate the warrant expiry date to 30 days later if the closing price of its common shares reaches or exceeds C$0.60 for 10 consecutive trading days.
A director of the company subscribed to 461,250 units, which is considered a related party transaction under Multilateral Instrument 61-101. Exemptions from valuation and minority shareholder approval requirements were utilized as the fair market value of the securities issued did not exceed 25% of the company's market capitalization and the shares are not listed on a specified market.
In conjunction with the financing, Fidelity Minerals paid C$55,650 in cash finder fees and issued 278,250 finder warrants to eligible finders. These finder warrants also carry an exercise price of C$0.30 per share, expire on August 20, 2028, and are subject to the same acceleration provisions as the regular warrants.
All securities issued under the financing, along with the finder warrants and the shares issuable from their exercise, are subject to a statutory hold period that concludes on December 21, 2026. The closing of the financing is pending final approval from the TSX Venture Exchange.
The proceeds from the financing are earmarked for advancing the company's exploration and community relations programs in Peru, as well as for general working capital. The company also noted that the securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold within the United States without compliance with registration requirements or applicable exemptions.
Fidelity Minerals Corp., listed on the TSX-V, primarily focuses on the Las Huaquillas project in northern Peru, in which it holds a 44.5% interest with the right to earn an additional 5.5%. The company's near-term goal is to validate previous underground sampling results and prepare for drilling to establish a new NI 43-101 compliant mineral resource estimate. Beyond the epithermal gold zone at Los Socavones, Las Huaquillas presents potential for copper discoveries through exploration of two confirmed porphyry systems.
