Edgewater Wireless Secures Strategic Investment from Silicon Catalyst Angels to Advance Spectrum Slicing™ Technology
Ottawa, Canada and Silicon Valley, California — September 8, 2026 — Leads & Copy — Silicon Catalyst Angels I, LLC (SCA) has made a direct strategic investment in Edgewater Wireless Systems Inc. as part of its recently completed private placement. The investment by SCA, a semiconductor-focused angel investment group, marks the second strategically aligned semiconductor investor to participate in the offering. Edgewater Chairman Brian Imrie also made an additional investment, further strengthening insider alignment with the Company’s next-generation Spectrum Slicing™ and PrismIQ™ roadmap.
The investments add strategic capital and semiconductor expertise as Edgewater advances its proprietary technologies toward customer demonstrations and commercial engagements. Edgewater Wireless specializes in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions and intellectual property, aiming to deliver unmatched Wi-Fi Quality of Service by intelligently mitigating congestion, managing spectrum allocation in real-time, and autonomously reconfiguring channel and link density.
SCA’s participation expands Edgewater's strategic relationship with Silicon Catalyst, which began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since joining the ecosystem, Edgewater has benefited from additional investor participation connected to Silicon Catalyst, the addition of Silicon Catalyst Chief Operating Officer Nick Kepler as a Board Observer, access to over 500 industry experts, and several million dollars in in-kind design, fabrication, and commercialization resources.
SCA, established in 2019, provides seed and Series A funding to Silicon Catalyst Portfolio Companies and comprises experienced semiconductor executives, technologists, company builders, and investors with relevant industry relationships. Their involvement brings not only capital but also operational insight and industry connections.
Andrew Skafel, President and CEO of Edgewater Wireless, stated that SCA's direct investment validates the company's novel approach and strengthens its strategic investor base at a critical developmental stage. He emphasized that experienced semiconductor investors recognize value creation through differentiated technology in visible execution.
Brian Imrie, Chairman of Edgewater Wireless, reiterated his confidence in the company's technology, team, and commercial traction, noting that Edgewater has built a strong foundation and is progressing towards milestones that highlight the relevance of Spectrum Slicing™ for high-reliability Wi-Fi and emerging high-performance applications.
Edgewater is currently advancing its PrismIQ™ platform and Spectrum Slicing™ roadmap through engineering development, prototype validation, and planned demonstrations for high-reliability Wi-Fi, f-use, and other performance-critical applications. The company views its approach as particularly timely given the evolution of Wi-Fi toward Wi-Fi 7 and beyond, where devices will access wider channels in often congested or partially occupied spectrum.
The financing strengthens Edgewater as it moves from validation toward execution and anticipates an initial product release in the first half of 2027. The coming period is expected to include significant engineering and ecosystem milestones.
In the private placement, 4,799,666 units were issued at a price of $0.06 per unit for gross proceeds of $287,979.96. Each unit consists of one common share and one common share purchase warrant, exercisable at $0.09 for two years. Chairman Imrie's participation amounted to $96,000. With the first tranche, the Company has issued an aggregate of 11,955,545 units for total gross proceeds of $717,332.70.
Securities issued in the second tranche are subject to a statutory hold period until January 9, 2027. The closing of the second tranche is subject to final acceptance by the TSX Venture Exchange. Net proceeds will be used for semiconductor design, engineering, and product development related to its Spectrum Slicing™ prototype, and for general working capital.
Mr. Imrie's participation is considered a related party transaction. The Company expects to rely on exemptions from formal valuation and minority shareholder approval requirements, as the fair market value of his participation does not exceed 25% of the Company's market capitalization.
