Metasphere Labs Announces Proposed Private Placement

Vancouver, British Columbia — January 14, 2026 — Leads & Copy — Metasphere Labs Inc. plans to raise up to $600,000 through a non-brokered private placement, the company announced January 13, 2026. The offering involves the issuance of up to 12,000,000 units at $0.05 per unit.

Each unit will include one common share of Metasphere Labs and one transferable common share purchase warrant. The warrants allow the holder to acquire an additional common share at $0.06 for four years from the closing date.

Metasphere Labs intends to use the net proceeds from the offering for general working capital and corporate purposes.

The company expects the offering to close around January 23, 2026, pending regulatory approvals, including acceptance by the Canadian Securities Exchange (CSE).

Securities issued will be subject to a four-month statutory hold period, as per Canadian securities laws. No finder fees will be paid regarding the offering.

Metasphere Labs is relying on an exemption under CSE Policy 4.6(2)(b) for the transaction, which allows the company to issue more than 100% of its issued share capital on a fully diluted basis without shareholder approval. The CSE granted this exemption based on the company's financial hardship, an agreement to complete the offering, no participation by related persons, and approval by a majority of independent directors.
