Seven Oaks Capital Corp. Provides Update on Qualifying Transaction

Seven Oaks Capital Corp. (TSXV: SEVN.P), a capital pool company, has updated its proposed qualifying transaction with a Romanian-based luxury apparel producer for top European fashion houses. The company initially disclosed the non-binding letter of intent on September 25, 2025.

Seven Oaks and the Target have progressed toward completing the Proposed Transaction, including financial conversion and auditing, due diligence, concurrent financing, and transactional documentation.

Financial statements for 2024 and 2025 have been converted to the International Financial Reporting Standard, and requisite audits are near completion. Preliminary due diligence has been completed including establishing a comprehensive data room, corporate document review, material contracts review, management meetings and questionnaires, and site visits to the manufacturing facility and key Romanian subcontractors.

Potential sources of debt and equity acquisition financing have been solicited, and detailed discussions are progressing. Key transactional documents have been drafted, including the definitive agreement, preliminary prospectus, and other documents required by the TSXV to support the listing application. Personal information forms for key individuals have also been submitted.

The completion of the QT is expected in late summer or early fall and is subject to satisfactory final due diligence, TSXV approval, finalizing outstanding terms and preparing definitive documentation, and closing of a concurrent financing.

Full terms of the Concurrent Financing and the QT will be provided in a future press release that will include all the required disclosure pursuant to Policy 2.4, section 11.2 to be considered a "comprehensive press release". Trading in Seven Oaks' common shares is currently halted in accordance with TSXV policies and will remain halted until the closing of the QT or until Seven Oaks seeks resumption of trading pursuant to Policy 2.4.
