A.C.L. Construction Completes Equipment Auction, Generating $3.5 Million and Reducing Debt

FORT ST. JOHN, British Columbia — July 31, 2026 — Leads & Copy — A.C.L. Construction Ltd. announced the completion of an equipment rationalization initiative, generating approximately $3.5 million in gross proceeds from an auction of underutilized heavy equipment. This initiative is part of the company's ongoing management of its equipment fleet to support its civil construction and infrastructure services business, with no anticipated changes to its overall business, operations, or strategic direction.

Of the total gross proceeds, $2.6 million was allocated to repay secured indebtedness tied to the sold equipment, and $0.4 million covered auction-related transaction costs. The remaining $0.5 million will be retained by A.C.L. Construction for general working capital, intended to support its ongoing civil construction operations.

John McPherson, CEO of A.C.L. Construction, stated that the auction demonstrates a disciplined approach to equipment fleet management. "By monetizing equipment that is not required for our current project pipeline, we have been able to meaningfully reduce secured debt, strengthen our balance sheet and free up working capital to support the delivery of ongoing civil construction, underground utilities and project management services to our customers," McPherson said. He emphasized that the company's core business and strategic direction remain unchanged.

In a separate development, A.C.L. Construction confirmed it previously advanced an unsecured, non-interest-bearing short-term loan of C$500,000 to Karbon-X Corp. The loan is repayable in full by the borrower six months after the advance date, with the borrower holding the right to prepay any portion at any time without penalty.

A.C.L. Construction, headquartered in Northeastern British Columbia, specializes in infrastructure services vital to the Western Canada and Territories resource sector. The company's services include large-scale earthworks, underground utility installations and tie-ins, oilfield road construction and maintenance, project management, and remediation and reclamation services in demanding environments.

The company is listed on the TSX Venture Exchange (TSXV: ACL), the OTCQB (OTCQB: AACLF), and the Frankfurt Stock Exchange (FSE: A3LO).
