VANCOUVER, British Columbia — August 21, 2026 — Leads & Copy — Icarus Capital Corp. has confirmed the terms of its previously announced non-brokered private placement, aiming to raise up to $170,000 in gross proceeds. The financing, detailed in a follow-up to a July 12, 2026, press release, involves the issuance of up to 3,400,000 units at $0.05 per unit.
Each unit comprises one common share and one common share purchase warrant. These warrants provide holders the right to acquire an additional common share at an exercise price of $0.10, valid for 24 months from the issuance date.
Insiders are anticipated to participate in the offering by subscribing for up to $10,000 in units. This potential insider participation qualifies as a “related party transaction” under Multilateral Instrument 61‑101 – Protection of Minority Security Holders in Special Transactions. However, it is expected to be exempt from formal valuation and minority shareholder approval requirements due to the fair market value of securities and consideration not exceeding 25% of the Company’s market capitalization.
