Cascade Copper Corp. Launches Private Placement to Fund Critical Minerals Exploration

Vancouver, British Columbia — October 23, 2026 — Leads & Copy — Cascade Copper Corp. announced a non-brokered private placement aiming to raise up to CDN$800,000 to fund its critical minerals exploration programs. The funds will be used to initiate a Phase 2 drilling program at the Centrefire Copper Gold Project in Ontario and to conduct geophysics surveys at both Centrefire and Copper Plateau.

The offering includes Critical Minerals flow-through shares priced at $0.06 per share. These shares will fund eligible Critical Mineral Canadian Exploration Expenses, primarily for drilling and exploration at the Company's critical minerals projects located in British Columbia and Ontario. The flow-through shares are defined under subsection 66(15) of the Income Tax Act (Canada).

The financing is expected to close by the end of October, pending necessary approvals, including those from the Canadian Securities Exchange. The offering is being conducted as a private placement within Canada and may extend to other jurisdictions determined by the Company. Cascade Copper Corp. plans to renounce Qualifying Expenditures to subscribers of Flow-Through Units for the fiscal year ending December 31, 2026. These expenditures must be incurred on or before December 31, 2027, in compliance with regulatory requirements.

The Company may offer finder's fees of up to 8% in cash and 8% in warrants on the aggregate gross proceeds raised by finders. These fees will be paid according to applicable securities laws and Canadian Securities Exchange policies.

The offering is accessible to existing shareholders who held common shares as of October 22, 2026, and continue to hold them until the closing date. This is permitted under B.C. Instrument 45-534 -- Exemption From Prospectus Requirement for Certain Trades to Existing Security Holders and similar provisions in other Canadian jurisdictions. This exemption limits an individual investment to $15,000 within a 12-month period, unless the shareholder has received investment advice from a registered investment dealer. If subscriptions from existing shareholders exceed the financing maximum, investments will be adjusted on a pro-rata basis.

Additionally, the offering is available to certain subscribers through B.C. Instrument 45-536 - Exemption From Prospectus Requirement for Certain Distributions Through an Investment Dealer. Cascade Copper Corp. confirms that no material undisclosed facts or changes concerning the Company exist, as required by the investment dealer exemption.
