Lincoln Gold Mining Inc. Announces Conditions Met for Ian Rogers to Become Control Person

(TSX.V: LMG) announced today that it has met the conditions set by the TSX Venture Exchange for Ian Rogers to be recognized as a “Control Person” of the Company. This follows the previously announced approval from the Company's disinterested shareholders. With these conditions satisfied, Mr. Rogers is now permitted to convert or exercise all convertible securities he holds into common shares of Lincoln Gold.
Currently, Mr. Rogers holds beneficial ownership and exercises control and direction over 4,942,000 common shares, representing approximately 17.17% of the Company's issued and outstanding shares. This position allows him to proceed with the conversion of convertible notes and the exercise of warrants or options, potentially increasing his stake to over 19.99% of the Company's common shares at the time of such transactions.
An Early Warning Disclosure filed by Mr. Rogers details his holdings. As of the release date, he controls 4,942,000 common shares, or 17.17% of the 28,783,010 common shares then outstanding. Additionally, he holds 11,100,000 convertible securities, including convertible notes, warrants, and options. On a partially diluted basis, after accounting for the conversion and exercise of these securities, this would represent approximately 40.22% of the issued and outstanding common shares, assuming no further shares are issued.
