Carrier Connect Data Solutions to Acquire PureColo Inc.
VANCOUVER, British Columbia — November 28, 2025 — Leads & Copy — Carrier Connect Data Solutions Inc. (TSX.V: CCDS) announced it has entered into a definitive share purchase agreement (SPA) on November 27, 2025, to acquire PureColo Inc., an established provider of carrier-neutral data centers in Ottawa, Canada.
Under the SPA, Carrier Connect will issue 4,606,704 common shares to PureColo securityholders. These shares will be subject to escrow conditions, with one-third released 4, 8, and 12 months post-closing.
PureColo securityholders will also receive approximately $2,326,000 in cash, payable over nine months following the acquisition's completion. This cash consideration is subject to adjustments based on PureColo's debt covenants in the SPA.
The completion of the acquisition is contingent upon customary closing conditions, including approval from the TSX Venture Exchange. The transaction was negotiated at arm's length, with no finder's fees or commissions involved.
PureColo, led by Chief Executive Officer Rainer Paduch, is forecasted to generate CAD ~$2.35 million in unaudited revenue for 2025, with a gross profit of ~$1.13 million (48%) and operational expenses of $1 million (~46%). The company serves approximately 60 customers across two data centers in Ottawa.
PureColo's revenue growth is reportedly tracking at 28% year-over-year, and the company is EBITDA positive. PureColo has $3.5 million in property, plant, and equipment, with total assets valued at $3.7 million, all unaudited.
Paduch noted the due diligence process between PureColo and Carrier Connect has progressed smoothly, and that he anticipates a seamless integration of PureColo into CCDS. He also mentioned new opportunities for CCDS' existing data centers and an uptick in mid-market AI opportunities.
Mark Binns, Carrier's Chief Executive Officer, said that the acquisition of PureColo's Ottawa data centers will give Carrier Connect 4 data centers, in 3 regions, with a strong revenue base and expansion capacity as well, providing additional space for existing and prospective customers.
