Homeland Nickel Announces Sale of Shamrock Project to American Gold & Copper
Toronto, Ontario — August 20, 2026 — Leads & Copy — Homeland Nickel Inc. (TXS-V: SHL) has entered into a non-binding letter of intent to sell its Shamrock Nickel-Copper Project in Oregon to American Gold & Copper Inc. (OTC: AGCI). The proposed transaction is structured as an asset acquisition and is contingent upon a 60-day due diligence period for AGCI.
Homeland CEO Steve Balch stated that Shamrock is a significant nickel sulphide project with potential for copper and precious metals. However, Homeland's focus remains on its nine nickel laterite properties in Oregon. Balch noted that Homeland has visited the Shamrock property only once since its acquisition.
Under the terms of the letter of intent, AGCI will make two cash payments to Homeland following the completion of due diligence. The first payment is USD $150,000 for the property, and the second is USD $8,500 to cover mining claim renewal costs due in September 2026.
The Shamrock Nickel-Copper Project, located in Jackson County, Southern Oregon, approximately 20 miles northwest of Medford, encompasses 40 unpatented lode mining claims covering approximately 758 acres. The project is situated in a historically recognized mining region and is road-accessible, with access routes extending from a paved highway to near the historical workings.
Exploration activity at Shamrock dates back to the early 1900s. Notably, the U.S. Bureau of Mines conducted underground development and diamond drilling on the property between 1949 and 1950. A composite sample of 200 lbs from the project assayed 1.1% Cu, 1.3% Ni, and 0.03 oz/t Pt. Transferable technical information, exploration records, and project data will be acquired along with the claims.
The 60-day due diligence period will allow AGCI and its representatives to conduct comprehensive reviews, including legal, title, technical, geological, environmental, financial, tax, and operational aspects of the assets. An independent qualified professional chosen by AGCI is expected to examine the claims, chain of title, legal descriptions, filings, maintenance status, and associated records.
Completion of the transaction requires that the claims are valid, properly recorded, maintained, and in good standing at the time of the definitive agreement signing and closing, unless AGCI expressly waives such conditions. The proposed transaction is also subject to satisfactory due diligence, verification of claim validity and standing, execution of mutually acceptable definitive agreements, necessary approvals including potential acceptance from the TSX Venture Exchange for Homeland, the absence of any material adverse change, and the delivery of customary transfer and closing documents.
The parties currently anticipate closing the transaction on or before October 11, 2026, unless otherwise agreed upon in writing.
