Ocumetics Technology Corp. Completes Second Tranche of Private Placement, Raising $2.5 Million
Calgary, Alberta — July 31, 2026 — Leads & Copy — Ocumetics Technology Corp. has completed the second tranche of its private placement, raising $2.5 million in gross proceeds. The offering involved the issuance of 6,250,000 units at $0.40 per unit, with each unit comprising one common share and one common share purchase warrant. These warrants provide holders the right to purchase an additional common share at $0.50 for three years. To date, the company has raised a total of $2,948,130 under the offering.
Ventum Financial Corp. received $200,000 in cash commissions and 500,000 warrants for their role in securing subscribers for the offering. The warrants are subject to an acceleration clause, allowing Ocumetics to potentially shorten their expiry date if the volume-weighted average trading price of its common shares on the TSX Venture Exchange reaches at least $0.75 for 30 consecutive trading days. The overall offering aims to raise up to $3.2 million through the sale of 8,000,000 units at $0.40 per unit, with the remaining portion expected to close in subsequent tranches.
The net proceeds from this offering are earmarked for funding the company's ongoing first-in-human clinical trials, supporting research and development initiatives, and bolstering general working capital. While these are the intended uses, the actual allocation may be adjusted based on future operational needs, events, or opportunities.
Both the common shares and warrants issued are subject to a four-month-and-one-day hold period from their issuance date. Warrants issued to finders are non-transferable. The completion of this tranche of the offering received conditional approval from the TSX Venture Exchange.
