GOAT Industries Ltd. Acquires Customer Contract Revenues from Epoxy AI, LLC
Vancouver, British Columbia, Canada — October 23, 2026 — Leads & Copy — GOAT Industries Ltd. (CSE: GOAT) (OTC: BGTTF) (FWB: 26B.F), a digital media and technology company, announced it has entered into a definitive contract revenue assignment agreement with Epoxy AI, LLC. The agreement, dated October 20, 2026, will see GOAT Industries’ indirect wholly owned subsidiary, Source Gaming Company, operating as BetSource, acquire customer contract revenues from Epoxy.
This transaction represents a significant advancement in GOAT Industries' acquisition strategy, providing for the acquisition of all rights to revenues, receivables, and other amounts payable under six Epoxy customer contracts. These contracts are with U.S. Tribal casinos and other established casino and sports book operators. In exchange for these contract revenues, GOAT Industries will issue 11,377,600 GOAT common shares at a deemed price of C$0.25 per share.
Under the terms of the agreement, Source Gaming will acquire the rights to these contract revenues. Epoxy has agreed to assign the underlying customer contracts to Source Gaming within six months following closing, contingent on obtaining any necessary customer consents. Until the assignment is complete, Epoxy will continue to fulfill its contractual obligations under the six contracts and will hold any revenues received in trust for Source Gaming before remitting them.
The transaction aligns with GOAT Industries' strategy to commercialize its BetSource technology platform across the U.S. Tribal gaming, commercial casino, and sports betting markets. The BetSource platform is designed to integrate live sports, digital entertainment, and personalized consumer experiences with new revenue streams, including advertising, sponsorships, customer acquisition, and interactive gaming services.
Hank Frecon, acting CEO of Source Gaming Company, stated, “This Agreement marks an important step forward in delivering on the strategy we outlined to shareholders in August. The addition of these customer revenue streams represents a meaningful commercial opportunity for our business. By combining established customer relationships with our scalable BetSource technology platform, we believe we are building a foundation for continued growth across the gaming and sports entertainment industries.”
In consideration for the contract revenues, GOAT Industries will issue the 11,377,600 common shares, referred to as the Consideration Shares, at a deemed price of C$0.25 per share. These shares will be issued in reliance on the asset acquisition prospectus exemption under National Instrument 45-106 – Prospectus Exemptions and may be subject to resale restrictions and escrow requirements under Canadian Securities Exchange (CSE) policies.
The completion of the transaction is subject to the satisfaction or waiver of certain conditions. These include the release of all security interests in the contract revenues, receipt of necessary approvals, and acceptance by the CSE. Both GOAT Industries and Epoxy may terminate the agreement if the transaction is not completed by November 30, 2026. There can be no assurance that the transaction will be completed as planned or at all.
As previously disclosed, GOAT Industries advanced US$100,000 to Epoxy under a non-interest-bearing promissory note in connection with a non-binding term sheet dated January 14, 2026. This note remains outstanding and will not be satisfied or extinguished as part of the current transaction, surviving completion according to its terms.
