Madoro Metals Corp. Files Initial Documentation for Proposed Reverse Takeover Transaction with Narrow River Resources Pty Ltd.

September 29, 2026 — Leads & Copy — Madoro Metals Corp. is advancing its previously announced proposed reverse takeover transaction with Narrow River Resources Pty Ltd. The Company has filed initial documentation with the TSX Venture Exchange (TSXV) to commence the review and approval process for the transaction under TSXV Policy 5.2 – Changes of Business and Reverse Takeovers. Madoro anticipates that once the TSXV reviews the documentation to its satisfaction, the Company will be authorized to convene a special meeting of its shareholders to approve the Proposed Transaction.

Details regarding the Proposed Transaction and the shareholder meeting will be provided in a management information circular, which will be mailed to shareholders and filed on SEDAR+. In parallel, Madoro plans to file a technical report for the Lac Simard mineral project, prepared in accordance with National Instrument 43-101, on SEDAR+ concurrently with the filing of the circular.

Madoro is also proceeding with a concurrent non-brokered private placement, aiming to raise up to C$1,230,000 through the sale of hard dollar and flow-through units. The completion of this Private Placement is a condition precedent to the Proposed Transaction and is subject to TSXV acceptance and other regulatory approvals. The closing of the Private Placement is scheduled to occur concurrently with the closing of the Proposed Transaction.

The completion of the Proposed Transaction is contingent upon several factors, including acceptance by the TSXV, regulatory approvals, shareholder approval at the upcoming meeting, the successful completion of the Private Placement, and the satisfaction of other customary closing conditions. Both Madoro and Narrow River Resources Pty Ltd. remain committed to progressing the Proposed Transaction.
