Critical Infrastructure Technologies Enhances Manufacturing Capabilities with Acquisition
Vancouver, BC — May 13, 2026 — Leads & Copy — Critical Infrastructure Technologies Ltd. (CiTech) (CSE: CTTT) (OTC: CITLF) (FRA: X9V) has received financial approval to acquire 100% of a Western Australian precision engineering and manufacturing company, strengthening its sovereign manufacturing capabilities.
The acquisition, valued at AUD $5,775,000 upon completion, includes two deferred payments of AUD $962,500 each, payable on the first and second anniversaries of the completion.
The company CiTech is acquiring has strong connections to the defense and mining sectors and the move marks a significant step in CiTech's strategy to establish sovereign manufacturing capability in Australia and vertically integrate the production of its Nexus platform and future defense technologies.
The acquisition is expected to provide CiTech with immediate revenue and EBITDA contribution. The acquired company’s revenue for FY2025 was AUD $7.5 million, with a projected AUD $8.6 million for FY2026. EBITDA for FY2025 was AUD $1.9 million, with a projected AUD $2.2 million for FY2026. Both revenue and EBITDA are expected to double within the next 2-3 years.
The acquisition will integrate a profitable engineering and fabrication business into CiTech’s operations, providing an immediate earnings base and enhancing the company’s ability to scale production of its Nexus communications platforms.
Completion of the acquisition has been extended to on or before May 31, 2026.
CiTech anticipates several strategic benefits from the acquisition, including immediate sovereign manufacturing capability in Western Australia, vertical integration of fabrication and engineering operations, faster prototyping, production, and deployment of Nexus platforms, access to a highly skilled workforce and advanced fabrication infrastructure, and enhanced capability to support defense, mining, and critical infrastructure customers.
According to CiTech, the strengthened manufacturing capability will allow the company to accelerate production of its Nexus autonomous communications platforms, supporting increasing demand from international defense, mining, and infrastructure markets.

Scott also noted that the acquisition strengthens sovereign Australian defense manufacturing capability and positions CiTech to participate in major allied supply chains.
CiTech, listed on the CSE, is focused on creating autonomous, high-capacity, rapidly deployable technology for essential services. The company targets the mining, defense, border security/surveillance, and emergency services sectors with its Nexus 16 product, which aims to provide critical mobile telecommunications. CiTech’s self-deploying platform (SDP) supports radio equipment, including LTE, and other technological payloads, such as surveillance and anti-drone systems. The company has completed the research and development phase and is commercializing its products.
