GOAT Industries Completes Acquisition of 1509467 B.C. Ltd. and Veroom, Inc.

GOAT Industries Ltd. (CSE: GOAT) (OTC: BGTTF) (FWB: 26B.F) has acquired 1509467 B.C. Ltd. and Veroom, Inc. (collectively, the “Targets”). The acquisitions were carried out via share exchange agreements.

Kevin Cornish, CEO of GOAT, stated the acquisition aligns with their mandate as an investment issuer and provides exposure to a licensed, data-driven affiliate and digital-engagement business.

150 BC wholly owns Source Gaming Company, a Pennsylvania-based digital media and technology company creating and commercializing engagement and monetization tools for sports and sports-betting related content. Source Gaming generates revenues from subscriptions, advertising, and affiliate-based revenues and operates BETSource, which holds Affiliate licenses for its sports wagering technology and business in over 15 United States and Ontario, Canada.

Vroom serves as the sales and marketing division for Source Gaming and the BETSource network and is responsible for partner acquisition, advertising sales, and affiliate sportsbook integrations.

Per the terms of the transaction, GOAT acquired all outstanding securities of the Targets for 70,000,000 common shares, issued at $0.21 per share. GOAT also issued 62,710,000 performance warrants to Vroom shareholders, exercisable into shares at $0.45 per share for five years, vesting upon achieving revenue milestones.

62,500,000 of the Company Shares issued to the Vendors are subject to a voluntary escrow

Concurrently with closing, Henry (Hank) Frecon III has been appointed to the Board of Directors of the Company.

GOAT has entered into a secured convertible note with 1509 for up to $1,000,000 for BETSource platform development.

GOAT closed a private placement financing for $5,379,713.10, issuing units comprised of one Company Share and one common share purchase warrant exercisable at $0.45.
