Adamera Minerals Corp. Closes Private Placement Raising $815,000

Vancouver, British Columbia — August 20, 2026 — Leads & Copy — Adamera Minerals Corp. has successfully closed a non-brokered private placement, raising $815,000. The financing involved the sale of 8,150,000 Units at $0.10 per Unit, with each Unit comprising one common share and one warrant.

Each warrant is exercisable at $0.15 for three years from the issuance date. An accelerated expiry provision will trigger if the Company's common shares on the TSX Venture Exchange maintain a closing price of $0.20 or more for 10 consecutive trading days after a specified period. In such an event, the warrants will expire 30 days after these 10 consecutive trading days, unless exercised by the holder beforehand.

The private placement included participation from a director and an officer of Adamera, who collectively purchased or acquired control of 650,000 Units. This participation is considered a "related party transaction" under Exchange Policy 5.9 and Multilateral Instrument 61-101. Adamera is utilizing exemptions from formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value of the transaction involving related parties nor the consideration paid exceeded 25% of the Company's market capitalization.

All securities issued under this private placement are subject to a four-month hold period, making them free trading on December 21, 2026. No finder's fees were paid in connection with this placement. Adamera plans to allocate the proceeds towards exploration work on its tungsten, gold, and copper projects, as well as for general working capital.
