Eventer Technologies Acquires Full Ownership of Israeli Subsidiary and Launches C$5.6 Million Private Placement
Toronto, Ontario — October 22, 2026 — Leads & Copy — Eventer Technologies Ltd. announced an agreement to acquire the remaining 49% of its Israeli operating subsidiary, Eventer Israel, for US$5.1 million. The company is also launching a concurrent non-brokered private placement aiming to raise up to C$5.62 million through the sale of units at C$0.76 each.
The acquisition will make Eventer Israel a wholly-owned subsidiary of Eventer Technologies. The company previously acquired a 51% stake in Eventer Israel on June 10, 2026. The remaining 49% is held by Xylo Technologies Ltd., a non-arm’s length party, which owns 48.06%, and a minority shareholder holding 0.94%.
Of the US$5.1 million purchase price, US$3.6 million will be paid in cash at closing, with the remaining US$1.5 million satisfied by the issuance of 2,774,408 Eventer Technologies common shares at a deemed price of C$0.76 per share. The company plans to use the net proceeds from the concurrent private placement to fund the cash portion of the acquisition. No debt will be acquired as part of the transaction.
Following the completion of the acquisition and the private placement, Kfir Zylberman, principal of Xylo, is expected to beneficially own approximately 17.98% of Eventer Technologies’ outstanding common shares and will become an insider. The company does not anticipate that a new control person will be created or that a change of control will occur as a result of these transactions.
The private placement involves the sale of up to 7,398,421 units, with each unit consisting of one common share and one common share purchase warrant. Each warrant will entitle the holder to acquire an additional common share at an exercise price of C$1.19 for 36 months. The warrants have an acceleration right, allowing Eventer Technologies to shorten their expiry if the company's shares are approved for listing on the Nasdaq Stock Market.
The proceeds from the offering will be used to fund the cash portion of the acquisition, cover associated costs, and for general working capital. Both the shares and warrants issued in the offering will be subject to a statutory hold period of four months and one day.
Completion of the acquisition is contingent upon several conditions, including acceptance from the TSX Venture Exchange, the successful completion of the private placement, and other standard closing conditions. The offering is expected to close before the acquisition.
