St-Georges Eco-Mining Corp. Proposes One-Year Extension for 5 Million Warrants
Montréal, Quebec — August 21, 2026 — Leads & Copy — St-Georges Eco-Mining Corp. (CSE: SX) (OTCQB: SXOOF) (FSE: 85G1) announced today its intention to extend the expiry date of 5,080,219 outstanding common share purchase warrants by one year, subject to acceptance by the Canadian Securities Exchange (CSE). The warrants were originally issued in connection with a private placement on September 6, 2024.
The existing warrants allow holders to purchase common shares of the Corporation at an exercise price of $0.08 per share and are set to expire on September 6, 2026. The proposed amendment would move the expiry date to September 6, 2027, while maintaining the $0.08 exercise price and all other terms of the warrants.
The September 2024 financing involved the issuance of 10,360,438 units at $0.06 per unit. Each unit comprised one common share and one-half of a common share purchase warrant, resulting in the issuance of 5,180,219 whole unit warrants. Of these, 100,000 warrants were exercised in April 2025, leaving 5,080,219 warrants currently outstanding.
This one-year extension will not apply to the 84,000 compensation warrants that were issued to an arm’s-length finder in connection with the September 2024 financing.
St-Georges Eco-Mining Corp. anticipates the amendment to become effective on August 24, 2026, pending CSE approval.
Regarding related party matters, the Corporation noted that certain directors, officers, and other individuals identified as related parties hold warrants that are included in this extension. St-Georges Eco-Mining Corp. will adhere to the requirements of Multilateral Instrument 61-101: Protection of Minority Security Holders in Special Transactions in relation to this amendment.
