Mark Binns Acquires Additional Shares in Carrier Connect Data Solutions Inc.
Vancouver, British Columbia — March 3, 2026 — Leads & Copy — Mark Binns announced today that he has acquired ownership of 12,500 common shares in Carrier Connect Data Solutions Inc. on the secondary market for $18,570.
The acquisition follows a previous announcement by the company on February 26, 2026, regarding the issuance of common shares from treasury. According to the announcement, the issuance resulted in a dilution of Mr. Binns' beneficial ownership of common shares by over 2%. The dilution occurred without any action on the part of Mr. Binns. At the time of the issuance and resulting dilution, Mr. Binns was exempt from early warning requirements.
As a result of the recent acquisition, Mr. Binns is no longer able to rely on the exemption.
Prior to the acquisition, Mr. Binns held 1,990,656 common shares and 870,000 stock options, each option entitling him to acquire one common share. This represented approximately 6.2% of the issued and outstanding common shares, or 8.9% on a partially diluted basis. Following the acquisition, Mr. Binns now owns 2,003,156 common shares and 870,000 options, representing approximately 6.3% of the issued and outstanding common shares (or 8.97% on a partially diluted basis).
Because Mr. Binns has fallen below the 10% reporting threshold, he is no longer subject to the early warning reporting requirements.
The acquisition was made for investment purposes. Mr. Binns may acquire additional shares and/or other equity, debt or other securities or instruments of the company in the open market or otherwise, and reserves the right to dispose of any or all of his securities in the open market or otherwise at any time and from time to time and to engage in similar transactions with respect to the securities, depending on market conditions, the business and prospects of the company and other relevant factors.
