Copper One Resources Corp. Restructures Special Warrant Offering
Vancouver, BC – August 20, 2026 – Leads & Copy – Copper One Resources Corp. has further amended the terms of its non-brokered special warrant offering, restructuring it into two classes of securities to raise up to $8 million in gross proceeds.
The offering was originally structured as a single class of up to 19,500,000 special warrants. It has now been divided into up to 15,000,000 non-flow-through special warrants priced at $0.40 each, potentially raising $6 million, and up to 5,000,000 flow-through special warrants also priced at $0.40 each, potentially raising $2 million.
Each NFT Special Warrant and FT Special Warrant will convert into one unit of the Company without additional consideration. The conversion date is as previously outlined in earlier news releases. Each FT Special Warrant is intended to qualify as a “flow-through share” under Canadian tax law.
Each unit will consist of one common share issued on a non-flow-through basis and one-half of a common share purchase warrant. The exercise price for these warrants is $0.50, with a two-year term from closing. Other terms, including acceleration provisions, a ten percent blocker provision, finder's fee arrangements, and the use of proceeds, remain unchanged.
The special warrants are expected to be issued under exemptions from prospectus requirements in Canada, including those for accredited investors or minimum investments of $150,000, pursuant to National Instrument 45-106 – Prospectus Exemptions. Securities issued will be subject to a four-month hold period from the closing date, in addition to other legal restrictions.
